Terms of Service - even
(Gameplan Technology)
Trading as even: These Terms of Service (“Terms”) govern the access and use of the software-as-a-service platform, automation tools, and related financial technology services (collectively, the “Services”) provided by Gameplan Technology Limited, trading as 'even' (“the Company,” “we,” “us,” or “our”). By accessing or using the Services, you (“the Client,” “User”) agree to be bound by these Terms.

1. NATURE OF THE PLATFORM
1.1 Gameplan Technology Limited provides an AI-native automation platform under the brand 'even' designed to facilitate data extraction, ledger categorisation, and the generation of internal financial schedules.
The Company is a technology provider, not a regulated audit firm, chartered accountancy practice, or professional tax advisory.
2. RISK AND VERIFICATION
2.1 Information, Not Advice: All outputs generated by 'even', including but not limited to AI-generated categorisations, tax suggestions, accrual schedules, and financial summaries, are provided for informational and administrative purposes only. They do not constitute professional accounting, tax, legal, or financial advice.
2.2 Independent Verification: The Client acknowledges that Artificial Intelligence and automated systems are subject to technical limitations and may produce inaccuracies (commonly referred to as “hallucinations”). The Client is solely responsible for the final review, verification, and approval of all data before it is published to a general ledger or used for statutory filings with HMRC or Companies House.
2.3 No Professional Relationship: Use of the 'even' platform does not create a fiduciary relationship or a formal accountant-client relationship between Gameplan Technology Limited and the Client, unless expressly agreed upon in a separate, signed Professional Engagement Letter.
3. UK AUDIT DISCLOSURES & STANDARDS
3.1 “Audit-Ready” Terminology: Where the Services produce "audit-ready" working papers, this refers strictly to the digital organisation, documentation, and traceability of data to assist a qualified auditor.
3.2 No Statutory Assurance: Gameplan Technology Limited does not perform statutory audits, reviews, or examinations of financial statements. We do not provide a professional opinion or any form of assurance regarding the compliance of the Client’s financial standing with UK GAAP (including FRS 102 and FRS 105), IFRS, or any other regulatory accounting standards applicable in the United Kingdom.
3.3 External Auditor Reliance: Any reliance by a third-party auditor on the papers or exports generated by 'even' is at the sole risk of the Client and the respective auditor.
4. DATA ACCURACY & CLIENT OBLIGATIONS
4.1 Input Integrity: The efficacy of the Services is dependent on the quality of the data provided by the Client. Gameplan Technology Limited is not responsible for errors resulting from incomplete, illegible, or fraudulent source documents.
4.2 AI Training & Learning: The Client acknowledges that the 'even' platform’s AI models learn from historical ledger data. If historical data provided by the Client is incorrectly coded, the platform may replicate these errors. The final "onus of correction" remains with the Client.
5. LIMITATION OF LIABILITY
5.1 General Limitation: To the maximum extent permitted by law, Gameplan Technology Limited shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, tax penalties, interest, or regulatory fines resulting from the use of the Services.
5.2 Specific UK Exclusions: We are not liable for:
Errors in VAT returns, Corporation Tax calculations, or statutory filings.
Misinterpretation of UK accounting standards by the 'even' AI.
Business decisions made by the Client based on automated platform "suggestions."
5.3 Liability Cap: In no event shall Gameplan Technology Limited’s total aggregate liability exceed the total fees paid by the Client to the Company in the twelve (12) months preceding the event giving rise to the claim.
6. INTELLECTUAL PROPERTY & AI DATA
6.1 Ownership: Gameplan Technology Limited retains all rights, title, and interest in its proprietary algorithms, AI models, brand, and software.
6.2 De-identified Data: By using the Services, the Client grants Gameplan Technology Limited a non-exclusive right to use de-identified, aggregated data to improve its machine-learning models and automation accuracy.
7. GOVERNING LAW
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.
8. INDEMNIFICATION
The Client agrees to indemnify and hold harmless Gameplan Technology Limited and its officers from and against any claims, damages, or legal fees arising from (i) the Client’s breach of these Terms, or (ii) the Client’s reliance on the 'even' platform to file taxes or financial statements without independent professional human oversight.
